Terms of Use
These terms govern use of boundarycondition.ca and its public intake forms. Program, client, investment, sponsorship, and partnership relationships require separate written agreements.
1. Acceptance and who we are
This website is operated by Boundary Condition Inc., a company based in British Columbia, Canada. By accessing or using the site, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the site.
You must be at least the age of majority where you live and legally able to agree to these terms. If you use the site for an organization, you represent that you are authorized to act for it in relation to the information you submit.
2. Website information and launch-state descriptions
The site provides general information about Boundary Condition’s intended accelerator, incubator, network, and Canadian market-entry work. We try to distinguish current operations from plans, possibilities, and illustrative deliverables. The organization is early and the model may change.
Website content is not an offer to provide services, admit a company to a program, make an investment, raise capital, provide funding, create employment, make an introduction, enter a partnership, sponsor a seat, or achieve any stated or implied outcome. Fees, equity, warrants, revenue sharing, success fees, scope, selection, schedules, and other program or engagement terms are binding only when stated in a separate agreement signed by the relevant parties.
We may correct, update, withdraw, or change site content without notice. You should verify information material to a decision rather than relying on the site alone.
3. No legal, tax, immigration, accounting, investment, or regulated advice
Boundary Condition Inc. is not a law firm, accounting firm, immigration consultancy, investment dealer, portfolio manager, bank, insurer, employment agency, or other regulated professional practice merely because the site discusses those topics or we coordinate specialists.
Website content and preliminary conversations are general business information, not legal, tax, accounting, immigration, securities, investment, employment, privacy, cybersecurity, engineering, clinical, or other professional advice. They do not create a fiduciary, professional, advisory, agency, partnership, or joint-venture relationship. Obtain advice from appropriately qualified professionals for your circumstances.
References to capital readiness, investors, public funding, incentives, procurement, or financing are not offers, solicitations, recommendations, or guarantees that capital or support will be available.
4. Applications, inquiries, and confidentiality
You are responsible for ensuring that information you submit is accurate enough for its purpose, lawful to share, and does not infringe another person’s rights. Do not submit material identified in the warning on the intake page, including trade secrets, credentials, highly sensitive personal information, or controlled technical data.
We handle intake submissions as described in the Privacy Policy and limit access for their intended purpose. However, submitting a form:
- does not create legally privileged communication;
- does not create an obligation to review, respond, accept, invest, introduce, or engage;
- does not prevent us or people in our network from working with others, including companies with similar ideas, markets, products, or business models; and
- does not create an exclusivity, non-disclosure, non-use, agency, fiduciary, or advisory obligation beyond obligations imposed by applicable privacy law and any separate written agreement.
Do not use the intake process as a substitute for a non-disclosure agreement. If a conversation reaches a stage where a formal confidentiality agreement is appropriate, the parties may consider one before exchanging additional information.
You retain ownership of information and materials you submit. You grant Boundary Condition Inc. a limited, non-exclusive permission to receive, store, copy, review, and use the submission only for the purposes described at collection, operating the intake process, protecting legal rights, and complying with law.
5. Acceptable use
You may use the site only for lawful purposes. You must not:
- attempt unauthorized access to the site, accounts, server, database, forms, or another person’s information;
- probe, scan, disrupt, overload, bypass, or defeat security, rate limits, verification, or access controls;
- submit malware, malicious code, automated spam, fraudulent applications, impersonation, or materially misleading information;
- scrape or harvest personal information or use automated means that impose an unreasonable burden;
- copy, republish, or commercially exploit substantial site content except as permitted by law or written permission; or
- use the site to infringe intellectual property, privacy, confidentiality, contractual, or other rights.
We may restrict or block access, preserve evidence, report suspected unlawful conduct, or take other proportionate steps to protect the site and its users.
6. Intellectual property
Unless otherwise identified, the site design, wording, graphics, program descriptions, Boundary Condition name and marks, and original published content are owned by Boundary Condition Inc. or used with permission and are protected by applicable intellectual-property laws.
You may link to public pages and make limited copies for personal, internal, non-commercial evaluation, provided you preserve notices and do not imply endorsement. No other licence is granted. Requests to quote, republish, translate, teach from, or commercially use substantial content may be sent to us.
Any third-party names and marks belong to their respective owners. Their appearance does not imply endorsement, affiliation, or partnership.
7. Third-party sites, professionals, and introductions
Links and introductions are provided for context or convenience. Boundary Condition does not control third parties and does not endorse or guarantee their availability, qualifications, advice, products, security, pricing, conduct, or outcomes. You are responsible for evaluating and contracting with them. A referral or introduction does not itself make Boundary Condition a party to that relationship.
If Boundary Condition or an affiliated person may receive referral compensation, hold an investment, have a commercial relationship, or otherwise face a material conflict connected to an introduction, the relevant interest should be disclosed before the related decision or engagement proceeds.
8. Disclaimers and limitation of liability
The site is provided on an “as is” and “as available” basis. To the extent permitted by law, Boundary Condition Inc. disclaims warranties and conditions, express or implied, including accuracy, completeness, currency, availability, merchantability, fitness for a particular purpose, non-infringement, security, and that the site will be uninterrupted or error-free.
Company-building, financing, hiring, expansion, market entry, and innovation involve uncertainty. Boundary Condition does not guarantee admission, introductions, customers, pilots, investment, revenue, grants, regulatory outcomes, hiring, market entry, company survival, or any other result.
To the maximum extent permitted by law, Boundary Condition Inc. and its directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss arising from the public site, including loss of profits, opportunity, data, goodwill, or business interruption. For any claim arising solely from use of this free public site, aggregate liability will not exceed CAD $100.
These limitations do not exclude liability that cannot lawfully be excluded or limited. Separate written agreements may set different terms for programs or services.
9. Indemnity
To the extent permitted by law, you agree to indemnify Boundary Condition Inc. against third-party claims, damages, and reasonable costs arising from your unlawful use of the site, your material breach of these terms, or information you submit without authority. This does not require you to indemnify Boundary Condition for its own negligence, wilful misconduct, or breach of law.
10. Governing law and disputes
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer or statutory rights, the courts of British Columbia will have exclusive jurisdiction over disputes relating to these terms or the public site.
Before starting formal proceedings, the parties should attempt in good faith to resolve the concern through written notice and a reasonable opportunity to respond, unless urgent relief is required.
11. Changes, severability, and entire agreement
We may update these terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance of the revised terms. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue. These terms and the Privacy Policy are the entire agreement for use of the public site, but do not replace a separate signed agreement.
